Overview
These Terms of Service ("Terms") govern your use of coellyo.co (the "Site") and any purchases made through it. By accessing or using the Site, you agree to be bound by these Terms, our Privacy Policy, and our Return & Refund Policy. Please read them carefully.
The Site is operated by Coellyo LLC ("Coellyo", "we", "us", or "our"), a limited liability company registered in the State of Wyoming, United States, located at 30 N Gould St, Sheridan, WY 82801. If you do not agree to these Terms, please do not use the Site.
Important: these Terms contain a binding arbitration agreement and a class action waiver (section 14) that affect how disputes between you and Coellyo are resolved.
1. Eligibility
By using this Site, you confirm that:
- You are at least 18 years of age, or the age of majority in your jurisdiction
- You are legally capable of entering into a binding contract
- You will use the Site in compliance with all applicable laws and regulations
2. Products
We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice. All product descriptions, images, and pricing are subject to change.
We make every effort to display our products as accurately as possible. However, we cannot guarantee that your device's display accurately reflects the actual color or appearance of our products. Some of our products, such as pH-reactive lipsticks, are designed to adapt their color to each person, so the final shade may differ from one user to another and from the images shown on the Site.
3. Cosmetic Use and Safety
Our products are cosmetics intended for external use only. Please read the ingredient list before use and perform a patch test on a small area of skin before full application if you have sensitive skin or known allergies. Discontinue use immediately if irritation occurs and consult a healthcare professional.
Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Nothing on the Site constitutes medical advice. Individual results may vary, and testimonials and before/after images reflect the experience of the individuals shown and are not a guarantee of results.
4. Orders and Payment
By placing an order on coellyo.co, you agree to provide accurate and complete information. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, inaccurate information, pricing or listing errors, product unavailability, or abuse of our promotions or guarantee.
Payment is processed securely through our payment providers. By submitting your payment details, you confirm that you are authorized to use the payment method provided.
All prices are displayed in the currency shown at checkout. Applicable taxes and shipping fees will be calculated and displayed before you complete your purchase. Promotional offers (such as "Buy 1 Get 1 Free" or bundle pricing) cannot be combined with other discounts unless stated otherwise and may be withdrawn at any time.
5. Subscriptions and Recurring Payments
Some products may be offered as a subscription with automatic recurring deliveries. If you select a subscription:
- You authorize us to charge your payment method automatically at the frequency and price shown at checkout until you cancel
- We will send a reminder by email before each renewal, and at least 30 days before any price change
- You can cancel at any time from your customer account, through the link in your subscription emails, or by emailing coellyosav@coellyo.com. Cancellation takes effect for the next scheduled delivery; orders already processed are covered by our Return & Refund Policy
- We may pause or cancel your subscription if a payment fails or a product becomes unavailable
6. Shipping and Delivery
We aim to process and ship orders promptly. Delivery times shown on the Site are estimates and may vary depending on your location and external factors beyond our control (customs delays, carrier issues, weather, peak seasons, etc.). Coellyo is not responsible for delays caused by shipping carriers or customs authorities.
Risk of loss and title for items purchased pass to you upon delivery to the carrier. Lost or undelivered packages are handled as described in our Return & Refund Policy.
International orders: orders shipped outside the United States may be subject to import duties, customs fees, or taxes charged by the destination country. These charges, if any, are the responsibility of the customer and are not included in the price or shipping cost. If a package is refused or returned to us because these charges were not paid, we may deduct the shipping and return costs from any refund.
7. Returns and Refunds
Returns and refunds are governed by our Return & Refund Policy, available at coellyo.co. By placing an order, you acknowledge and accept the terms of that policy, including our 60-Day Satisfaction Guarantee and its conditions (one claim per customer, household, or shipping address, and first order of a given product only).
8. Intellectual Property
All content on this Site, including but not limited to text, images, graphics, logos, videos, product names, formulas, and product designs, is the property of Coellyo LLC or its content suppliers and is protected by applicable intellectual property laws. "Coellyo" and our logos are trademarks of Coellyo LLC.
You may not reproduce, distribute, modify, or use any content from this Site without our prior written consent.
9. User Content and Reviews
If you submit reviews, photos, comments, or other content to the Site or tag us on social media, you grant Coellyo a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content for marketing and promotional purposes. You confirm that you own the content, that it is truthful and based on your genuine experience, and that it does not violate any third-party rights. We may remove any content at our discretion.
10. Prohibited Uses
You agree not to use the Site:
- For any unlawful purpose or in violation of any regulations
- To transmit harmful, offensive, or fraudulent content
- To attempt to gain unauthorized access to our systems or data
- To interfere with the proper functioning of the Site
- To collect personal information about other users without their consent
- To abuse our promotions, discount codes, or satisfaction guarantee, including by placing multiple orders under different names or addresses
- To resell our products commercially without our written authorization
11. Disclaimer of Warranties
The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
To the fullest extent permitted by law, Coellyo LLC and its members, managers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or purchase of our products. Our total liability shall not exceed the amount paid by you for the order giving rise to the claim. Some jurisdictions do not allow the limitation of liability, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Coellyo LLC from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law, or your violation of the rights of a third party.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Informal resolution first. If you have a problem, please email us at coellyosav@coellyo.com. Most issues can be resolved quickly. You agree to try to resolve any dispute informally with us for at least 30 days before starting formal proceedings.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any purchase that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration may be conducted by phone, video, or written submissions, or in Sheridan County, Wyoming. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction. Either party may instead bring an individual claim in small claims court.
Class action waiver. You and Coellyo agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Opt-out. You may opt out of this arbitration agreement by emailing coellyosav@coellyo.com with the subject line "Arbitration Opt-Out" within 30 days of your first purchase. If you opt out, disputes will be resolved exclusively in the state or federal courts located in Wyoming.
If you are a consumer in the European Union, United Kingdom, Canada, or Australia, nothing in this section deprives you of the protection of mandatory consumer laws of your country of residence.
15. Third-Party Links
Our Site may contain links to third-party websites or services. These are provided for your convenience only. We have no control over their content and accept no responsibility for them or for any loss or damage that may arise from your use of them.
16. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and Coellyo regarding the Site. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
17. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated date. Your continued use of the Site following any changes constitutes your acceptance of the new Terms.
